Board Highlights:

Ø        AKCA Financials included with minutes

The meeting was called to order by Chairperson Joan Finnegan @ 7:00 pm.   We have 105 clubs.

v      MINUTES:

Motion:  To approve the minutes of November 12, 2004.  Motion by Doug, 2nd by Harlan.  Approved.

v      NOVEMBER/DECEMBER FINANCIAL STATEMENT/FINANCE COMMITTEE:

The KHV Project Bank of America account has been added to our balance sheet.  Wm. Lim questioned why we charge dealers $13,95 for our video tapes when he charges $10.  He remembers that he reduced our cost to $6 so we could sell to dealers for $10.  Motion:  To charge dealers $10 for the video tapes.  Motion by Lisa, 2nd by Burt.  Approved.   Wm. Lim also feels it is time to update the Pond Construction video tape and change over to DVD while we are updating it.  AKCA will only carry DVD.  We received 100 Koi Classification DVDs.  It cost $150 to convert from video to DVD and $120 for a label design one time charge.  Cost per DVD was $2.60 for minimum quantity of 100 but this batch will cost about $5 each due to initial costs.  Motion:  To set the price for the DVD the same as for the video; $10 for dealers and $19.95 to the public.  Motion by Doug, 2nd by Burt.  Approved.  We only have 8 St. Erne books left.  Motion:  To order 50 more at the $35 cost.  Motion by Doug, 2nd by Harlan.  Approved.    The investment account increased $3,210 in November and $3,419 in December.  KOI USA subscription income per issue has decreased from $19,909 to $18,553 or 6.8% in the last 12 months.  We earned subscription income for 5,276 copies of Jan/Feb 2005 issue.  This count does not include magazines sent to advertisers or to clubs.  Advertising income has increased from $46,782 to $48,656 or 4% in the last 12 months.  So the total income from KOI USA for each issue has not changed in the last 12 months with advertising making up for lost subscription income.

Doug is preparing the 1099 forms for last year with CPA assistance.  He recommends that next year we delete the Management Letter because he doesn’t find it relevant to our small organization.  Doug went over the 4 step tax approach approved by the AKCA Board.  A tax extension was made for the 2003/2004 as well as sending $30,000 to the IRS and $10,000 to the state.  The CPA has now determined that we owe $18,000 to the Feds and $8,000 to the State; thus, we should get a refund.  Doug also noted that we are heading toward status as a private foundation rather than a 501c3 not for profit because more than 1/3rd of our total support comes from unrelated business activities.  Discussion.  Motion:  to see tax attorney regarding our non-profit status.  Motion by Harlan, 2nd by Bob.  Approved.

Doug reported that the Financial Committee met on Jan. 10th to go over taxes and CPA status and options.  It was decided to continue to work with our current CPAs but to have a tax attorney review our current tax forms and discuss our 501c3 status.  They also reviewed the investment accounts and plan to continue to roll over CDs into newer 12 month CDs since bonds are not a good investment at this time.  Doug also plans to sell Fidelity Mutual Funds as they mature with no penalty and buy CDs.  Doug also stated that the bookstore shipping charges are too expensive as we are only using UPS.  Doug will talk with Amber to get her to use USPS for all packages 5#

and under to reduce shipping costs.  102 of the 145 packages sent out in Oct. thru Dec. were under 5#.

COMMITTEE REPORTS:

v      SCIENTIFIC:  Joyce handed out Spikes report.  He has completed about ½ of his goals.  Another issue of the KHA Newsletter was published in Dec.  Richard Strange has also completed preparing his course on Common Bacterial Diseases of Koi with sign-ups starting next week.  The course is in Feb.    Also graduated 3 more KHAs with current totals at 137.  Burt reported that Andy Goodwin found no trace of KHV in the fish sent to him from Israel.  Sandy Yosha will be attending the AVMA meeting at the end of March; they have been given a grant to form a national data base of aquatic vets.  Sandy Yosha would also like them to specify koi/goldfish in a separate category.  Motion:  To pay the airfare, 2 nights hotel and 2 meals for Sandy Yosha to attend the AVMA meeting.  Motion by Burt, 2nd by Joyce.  Approved.  Joan received a report from Ray Jordan (7 are on the committee) stating that there have been 41 donations totaling $13,410.50.  They launched their website on Jan. 3rd.  One can go to koi.com/akcaprojectkhv/index.htm. or go to www.akca.org .  It was suggested that the Project KHV have its own URL; cost would be minimal.  There was also a suggestion that Norm Call design a donor pin to be given to individual donors.  Also, a certificate sent to clubs who have donated.

v      PUBLICATION:    Ed stated that they are working on a strategic plan; want articles to be more timely to seasons, etc.  Connie’s computer is old and crashing; would like a new one.  Motion:  To purchase a new computer for Connie, cost not to exceed $1,000.  Motion by Lisa, 2nd by Joyce.  Approved.  Brenda sent Ed a final summary on the marketing survey she did; he will bring it in for the next meeting.  Did state that most subscribers not renewing are doing so because they are no longer in the hobby.    Also looking for a few more features editors.

v      MEMBERSHIP:  Doug stated that we received early 2005/2006 AKCA dues from 1 club in November.  45 clubs held election of Officers in Nov. & Dec.  2 clubs have not responded to update requests.

v      JUDGING:  Bob said that we have few in the candidate class because we don’t need any more judges.  Also, with difficulty in traveling by air, it seems that judges are staying on their own coasts.  He would like new tanks for the Seminar.  Motion:  To purchase 5-6 new tanks at the best price.  Motion by Harlan, 2nd by Doug.  Approved.

v      SPEAKER’S GRANT:  Burt stated that No. Texas asked how to go about the grant (they were the lottery winners).

v      GUIDES:  No report.

v      INSURANCE:  Burt stated that clubs need to follow guidelines in the Club Kit (also on the website).  Most of the times, club activities, i.e. pond tours, koi shows, DO NOT REQUIRE an insurance certificate.  If in doubt, PLEASE check your club kit or on the website.  There have been too many times where our insurance agent has been contacted asking for a certificate when one wasn’t needed.

v      NOMINATING COMMITTEE:  Joan has appointed the nominating committee: Larry Levertt will chair and Harlan Glen and Bruno Kudrecki will serve.  The officers, with the exception of Joan as she will not be running for office again, left the room so that those present could discuss the current officers (this is per our bylaws).  Joan commended the officers for the outstanding work they’ve been doing on behalf of AKCA.
