MINUTES: Motion: To approve
the minutes of November 10, 2006.
Motion by Harlan, 2nd by Joan. Approved.
v
NOVEMBER/DECEMBER FINANCIAL STATEMENT/FINANCE COMMITTEE:
Doug reported that our investment fund gained $4281
in Oct., $1869 in Nov., and $4406 in December.
Motion: To
purchase $50,000 in the money market & $30,000 in CDs to cover KHV
commitment or expenses. Motion by Burt,
2nd by Joyce. Approved. Went over KOI USA vendors who are behind in
their payments for advertisement.
Joseph, our accountant, completed annual review for KOI USA Inc. and for
AKCA and will send it to Doug to share with the Board. Michael, our tax man, has completed the KOI
USA Inc. and AKCA tax forms for last year.
Fed taxable income for KOI USA Inc. was only $13,384 for last year. KOI USA Inc. Fed taxes are $2008 but we paid
$5836 in estimated taxes so are due a refund of $3825. KOI USA Inc. State taxes are $1183 but we
paid $4000 in estimated taxes so are due a refund of $2817. Michael recommended we use the refunds as
estimated taxes for this year so Doug does not have to file them. AKCA tax form preparation was $350 from
Michael including Annual Registration Renewal to Attorney General and Annual
Calif. Exempt Organization renewal.
Doug has notified KOI USA Inc. that since they do not have an approved
annual budget, all financial motions require AKCA Board approval until a budget
is created and approved. The budget is
6 months overdue. Joseph agreed that
10% interest is reasonable for AKCA to charge for the $41K loan. Interest calculation and balance sheet is
attached to this report. Motion: To charge KOI USA Inc. 10% interest,
compounded monthly, for the $41K loan to start KOI USA Inc. Motion by Doug, 2nd by Burt. Approved. AKCA owes no taxes for last year. However, since KOI USA Inc. did not have
sufficient income to cover a $104K donation to AKCA, we still have the
$104,502.52 debt owed by AKCA to KOI USA Inc. to cover the subscription
liability. KOI USA Inc. made a loan
repayment of $6390 on Dec. 1st and will repay the last payment plus
interest on Feb. 1, 2007. Motion: To transfer $104,502.52 from the AKCA
investment account into the KOI USA Inc. investment account to purchase CDs to
cover the subscription liability.
Motion by Doug, 2nd by Joan. Approved. Motion: To purchase a shredder for $86.37 to shred
credit card information sheets from the Seminar and bookstore and other
sensitive documents. Motion by Burt, 2nd
by Harlan. Approved. AKCA has received notification it is
included in a class action suit against Zurich regarding commissions and quotas
to the selling insurance companies. KOI
USA Subscription income dropped $400 (20 subscribers) from Nov/Dec issue to
Jan/Feb issue. Subscription liability
ahs dropped to $95K from $116K in August!
Motion: To pick up
all cost to send bookstore materials and pay Brenda to go to Florida and
Connie’s expenses in Arizona. Motion by
Burt, 2nd by Joan. Approved.
COMMITTEE REPORTS:

v
PUBLICATION:
Joan presented
the report. The CFO is working to
balance the accounts between KOI USA Inc. and AKCA. The Librarians Reference was discussed; decided to continue
maintaining their
listing in the reference guide to periodicals used
by libraries. Discussed Brenda’s
expenses for representation at various East Coast shows; helped her plan her
expenses. Requested purchasing a
shredder for KOI USA (separate from AKCA).
Discussion about ad rates; decided to leave them as they currently
are. The new envelopes are here and
will start appearing with the May/June issue.
Tom is coordinating Alpha Servers and PCS to get a subscription
info. Tom has secured a 10x10 booth at
Pondapalooza which is being held in Savannah in August. For back issues, call Joan. Ron discussed setting goals for KOI
USA. He as asked them to think about
where they would like the magazine to be in three years and to be prepared to
discuss this at the next meeting. Bill
contacted some people to be sales reps.
More info will be forthcoming.
v
MEMBERSHIP: Doug reported that we have
had several club express an interest in joining AKCA; 1 club has asked to be a
member. However, it is not a club in
the typical sense. Their members meet
through the internet with members throughout the USA. Burt needs to see if our insurance would cover such a club;
voting on hold until we get more info.
v
JUDGING: Bob reported on some recent
problems with several email responses.
Much discussion and possible consequences for a judge involved. Bob will have final say in this matter as he
is the Chair of the Judging committee.
v
SPEAKER’S GRANT:
NR
v
GUIDES: Burt reported that he has all the info for
the revised filter guides; will be getting together with Cindy & Tom Graham
to create the revised AKCA prefilter & filter guide.
v
INSURANCE: Burt reported that he will
check with our agent about having an internet club join AKCA.
v
Nominating Committee: Larry assigned Joan &
Carole to be on the committee. Harlan
Glenn has agreed to serve as Chairperson; Bill Thompson has agreed to serve as
Vice Chair; Carole has agreed to Secretary; and Doug has agreed to stay on as
CFO. The Slate of Officers will be
formally presented next month and then sent out to clubs for their vote.
SEMINAR REPORTS:
v 2007 Phoenix, Ariz. Seminar: Joan
reported that Robbie wanted to have a Koi show at the Seminar and asked to get
feedback from AKCA. After much
discussion it was felt that due to lack of space at the Seminar and the extreme
heat for any outside venue, it is inadvisable to have a koi show. We have never had a koi show at a Seminar;
San Diego’s Seminar will be a 1st and a trial run for any future
shows at an AKCA Seminar.
v 2008 Jacksonville, Fla.
Seminar: Burt reported that they have
their committee heads; getting pricing on various items so that they can create
the budget.
v
2009 San Diego, CA: Burt reported that they have
three contracts from hotels in the San Diego area; need to clarify room space
and then he will negotiate a contract with one of the hotels, preferably the
Hanalei.

However, the calendar will be presented to the membership in the February newsletter and will be discussed at the monthly meeting.
